Terms and Conditions

Definitions
Act means the Telecommunications Act 1984 and includes any amendments to the Act that may be made from time to time.
RT means Regional Telecom
Customer means the person, partnership or company who has placed the order.
Service means the service or services requested by the Customer on line and to be provided to the Customer by RT.
Agreement means this agreement entered into by and between RT and the Customer and is subject to both the terms and rates set out on line which may change without notice.
 
1) Duration
This Agreement shall come into full force and effect from the date of acceptance by RT and shall continue for a minimum period of one day whereupon it will then continue unless terminated by the customer electronically unless terminated by RT subject to Section 7 & 8 of this Agreement.
 
2) Use of Service
2.1) RT shall provide the Service to the Customer subject to the Agreement and subject to availability and shall exercise all due care in the provision and maintenance of the Service to provide high quality and reliability.
2.2) All information relating to the Customer collected by RT in the course of providing the Service shall remain confidential between the Customer and RT subject only to the permitted uses of that information under the Agreement or as may be required under the Act or any other regulations relating to the Service and except that RT at its sole discretion may use data about use of the Service by the Customer as part of any report or publication without revealing the identity of the Customer.
2.3) The Customer undertakes to use the Service in accordance with the conditions set out herein and such variations as may be notified by email from time to time to the Customer by RT and in accordance with the Act or any other regulations relating to the Service.
2.4) The Customer shall indemnify and hold harmless RT against all liabilities, claims, losses, damages or expenses arising directly or indirectly or in any way associated with any use of the Service by the Customer or provision of the Service by RT.
2.5) The Customer shall not use or allow use of the Service in any manner or for any purpose unlawful or offensive.
2.6) The Customer shall notify RT immediately upon becoming aware of any failure or malfunction in the Service via on line reporting tool or email.
2.7) RT shall correct any failure or malfunction in the Service as soon as is reasonably practicable.
2.8) The customer recognises that the service is not guaranteed to be “continuous” and that there may be periods of time when the service is unavailable for operational or other reasons.
2.9) The customer needs to ensure that their email address is kept up to date as this is accepted that it is the sole method of contact for updates and billing or for any other notification.We use http://www.convincingmail.com to validate emails from time to time. Failure to do so is in breach of contract and copy invoices will be charged at £1 plus VAT each.
 
3) Provision of contact and other Information
3.1) The customer is responsible for keeping their contact email address up to date by logging in and making changes themselves as this is the sole method of contact as Regional Telecom is primary an e-business.
3.2) Any instructions the customer provides Regional Telecom regarding the service must be provided electronically via the website reporting tool found in the customer area. Any verbal instructions will only be carried out after receiving such an electronic instruction.
3.3) The Customer undertakes to provide to RT free of charge and in full co-operation any information reasonably required by RT in order to fulfil its obligations under the Agreement.
3.4) RT shall at its sole discretion use this information for any credit reference or debt collection purpose including disclosure to and use by its agent or agents acting on its behalf.
3.5) Duplicate invoices shall be provided at a cost of 50p each with a minimum  charge of £1 if the recipients email address is found to be out of date when the originals were sent.
 
4). Prices and packages
4.1) Admin fees and call charges are available to view on line here and may change without notice.
4.2) The price table should be checked by the customer at regular intervals, whereas the general trend is that they are decreasing, this cannot be guaranteed.
4.3) All packages must be paid in full for a whole month regardless of usage.
4.4) 0845 To mobile packages are subject to a minimum of 0 seconds per call.
All packages are payable regardless of their usage until the customer cancels electronically.
4.5) A surcharge of 13p is added to 0800 calls received from BT Phone kiosks, but not private payphones. All charges are subject to VAT
4.6) Call divert and calls to 0800 numbers translating to mobiles are subject to a maximum call length of 60 mins after which 10p per minute is charged.
4.7) Price bands are as follows:-
DAY (DAY): 8am to 6pm Mon to Fri.
EVENING (EVE): 6 pm to 8am Mon to Fri.
WEEKEND (WND): midnight Fri to midnight Sun.
 
 
4 A) 10p per call packages are subject to a fair usage policy of each call lasting an average of three minutes in length. Further charges of up to £10 per month may be added if this average is exceeded to recoup costs as we have to pay a pence per minute charge.
 
5) Liability & Compensation
5.1)  RT shall have no liability whatsoever to the Customer in contract, tort or otherwise, including any liability due to negligence for loss of goodwill, revenue, anticipated savings, profit or for any direct, indirect or consequential financial loss howsoever arising.
 
6) Payments
6.1) The Customer shall pay for use of the Service according to RT’s tariff by direct debit or credit card as amended from time to time and is available on line at www.regionaltelecom.co.uk.
6.2) Usage charges payable by the Customer shall be calculated by RT according to data recorded by RT.
6.3) The Customer is required to maintain the account in credit at all times.
6.4) Where the Customer  pays by Direct Debit they will receive at least ten days notice in writing or electronically of the Direct Debit to be taken. Any sums owed by the Customer outside these payment terms shall attract interest at the rate of 5% per annum above the Barclays Bank Lending Rate.
6.5). The customer will incur disconnection of service and a levy of £5 if the direct debit mandate is cancelled or the bank account closed without informing RT in advance or collection by credit/debit card fails.
6.6) All sums due to RT under the terms of the Agreement are exclusive of Value Added Tax and/or any other taxes applicable at the appropriate rate, such taxes to be paid by the customer.
6.7) Any outpayments* due to you will be paid monthly in arrears based on fully itemised statistics we send you. This enabling you to invoice us for the money we owe you based on the rates on line. These rates may be subject to change without notice.*Subject to a minimum accumulative amount of £12 excl VAT. Send your invoices to contact@regionaltelecom.co.uk Include your account code and enter our invoice numbers and amounts line by line. Include your VAT number in order to claim the VAT element.
 
7) Suspension of Service
7.1) In the event that the Customer is in breach of the Agreement, provision of the Service to the Customer may be suspended forthwith by RT upon notification to the client electronically without liability to the Customer and until further notice.
7.2) Suspension of the Service will entitle RT to payment on demand of all amounts owed by the Customer under the Agreement whether already invoiced or not.
7.3) The Customer shall pay RT £10 + VAT costs associated with such
suspension of the Service and subsequent re-connection if it occurs.
7.4) If payment is not made within 7 days of the due date RT reserves the right
 to suspend use of the service immediately.
 
8) Termination
8.1) Without prejudice to their rights under the Agreement expressed or implied the Customer or RT shall have the right to terminate the Agreement in the event that the other party is in default either in observation of or in performance of its obligations under the Agreement and in the case of rectifiable default fails to rectify the default within a reasonable time specified by the non-defaulting party in writing.
8.2) Without prejudice to their rights under the Agreement expressed or implied RT may terminate the Agreement in the event that a liquidator, trustee in bankruptcy, receiver or administrator is appointed in respect of the assets and/or business of the Customer or if the Customer is deemed  insolvent according to the Insolvency Act 1986, or if any license under which the Customer operates its business is revoked, amended or ceases to be valid.
8.3) Without prejudice to their rights under the Agreement expressed or implied RT may terminate the Agreement in the event that its license under the Act is revoked.
 
9) Assignment
RT shall have the right to assign, delegate or otherwise deal with their rights under the Agreement in part or in whole. The Customer shall not have the right to assign, delegate or otherwise deal with their rights under the Agreement in part or in whole.
 
10) Entire Agreement
The Agreement represents the entire understanding between the parties in relation to the subject matter hereof and supersedes all prior agreements, representations or understandings by either party whether oral or written.
 
11) No Waiver
Failure by either party to exercise or enforce any right conferred by the Agreement shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof or of any other right on any later occasion.
 
12) Notices
Any notice, invoice or other document which may be given under the Agreement shall be deemed to have been duly given if sent by email to the current email address held in our database at that time.  Neither party shall be held to be in breach of its obligations under the Agreement, save for obligations to make payments under the Agreement, to the other party for any loss or damage which may be suffered by the other party due to any cause beyond the reasonable control of the first party including but not limited to any act of God inclement weather failure or shortage of power supplies flood drought lightning or fire, strike, lock-out, trade dispute or labour disturbance, act or omission of Government authorities other  telecommunications providers, war, military operations or riot.
 
13) Governing Law
The Agreement shall be governed by and construed and interpreted in accordance with English Law and the parties hereby submit to the jurisdiction of the English Courts.
